Contracts exist to protect both sides, not just the company writing them. These Terms and Conditions lay out exactly what you can expect from us, what we expect from you if you engage our services, and what rules apply if you simply use this website. I have kept the language direct on purpose. If a clause matters, it is written in plain terms. If it does not apply to your situation, such as a client specific Master Service Agreement overriding a section below, that is stated clearly too.

By accessing or using appvertices.io, submitting a contact form, requesting a proposal, or engaging AppVertices for any service, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use this website or engage our services. If you are accessing this website or engaging in our services on behalf of a company, you confirm that you have the authority to bind that company to these terms.
"AppVertices," "we," "our," or "us" refers to AppVertices and its officers, employees, contractors, and agents. "Client" refers to any individual or company that engages AppVertices for services, whether under a signed agreement or a purchase order. "Services" refers to software development, mobile app development, AI development, cloud services, web development, design, staff augmentation, digital marketing, and any other service offered by AppVertices. "Website" refers to appvertices.io and all subdomains and pages hosted under it. "Deliverables" refers to any code, design, document, or work product created by AppVertices for a Client under a specific engagement. "Agreement" refers collectively to these Terms and Conditions, any signed Master Service Agreement (MSA), Statement of Work (SOW), or proposal accepted by a Client.
You may use this website only for lawful purposes and in accordance with these terms. You agree not to: Use the website in any way that violates applicable local, state, national, or international law Attempt to gain unauthorized access to our servers, systems, or any account not belonging to you Introduce viruses, malware, or any other harmful code to the website Scrape, copy, or reproduce website content for commercial redistribution without written permission Interfere with or disrupt the website's functionality or the servers and networks connected to it Impersonate AppVertices, our employees, or any other person or entity while using the website We reserve the right to restrict or terminate your access to the website at our discretion if we believe these terms have been violated.
All content on appvertices.io, including text, graphics, logos, icons, images, case studies, blog posts, and the underlying code of the website itself, is the property of AppVertices or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from this content without our prior written consent.
Ownership of Deliverables created for a Client is governed by the specific Statement of Work or Master Service Agreement signed for that engagement. Unless otherwise stated in that signed agreement, AppVertices assigns full ownership of custom Deliverables to the Client upon receipt of full and final payment for the applicable milestone or project.
AppVertices retains ownership of any pre-existing tools, frameworks, libraries, code snippets, methodologies, or internal accelerators used to build a Client's Deliverables, whether developed before or during an engagement, and grants the Client a non-exclusive, perpetual license to use these as embedded within the Deliverables. AppVertices retains the right to reuse general knowledge, skills, and non-confidential techniques gained during an engagement on future projects for other clients.
Where a project incorporates third-party software, open-source libraries, APIs, or licensed tools, those components remain subject to their own respective licenses, and AppVertices does not warrant rights beyond what those licenses permit.
Any specific engagement with AppVertices begins with a written proposal, quote, or Statement of Work outlining scope, timeline, deliverables, and pricing. These Terms and Conditions apply to every engagement in addition to the specific SOW or MSA, and where a direct conflict exists between these Terms and a signed SOW or MSA, the signed document controls for that specific engagement.
Any request to change scope, features, timeline, or deliverables after a Statement of Work is signed will be handled through a formal change request process. Change requests may affect project cost and timeline, and will be documented in writing and agreed upon by both parties before work proceeds.
Timely delivery depends on Client cooperation. Clients are responsible for providing timely feedback, approvals, access credentials, content, and any other information reasonably required for AppVertices to perform the Services. Delays caused by Client non-responsiveness may result in corresponding delays to project timelines, and AppVertices is not liable for such delays.
Fees for Services are outlined in the applicable proposal, quote, or Statement of Work. Unless stated otherwise, fees are quoted in US dollars and are exclusive of applicable taxes, which are the Client's responsibility.
Payment schedules, whether milestone based, monthly, or a fixed deposit and balance structure, are defined in the signed agreement for each engagement. Invoices are due within the timeframe specified in that agreement, and in the absence of a specified timeframe, payment is due within 15 days of the invoice date.
Late payments may result in suspension of work, suspension of access to Deliverables, or termination of the engagement at AppVertices' discretion. AppVertices reserves the right to charge interest on overdue amounts at the maximum rate permitted by applicable law.
Fees paid for work already performed are non-refundable. Refund terms for undelivered work, deposits, or terminated engagements are governed by the specific terms of the signed agreement for that engagement.
Both AppVertices and the Client agree to protect confidential information shared during an engagement, including business plans, technical specifications, financial information, and any other information reasonably understood to be confidential. This obligation survives the termination of any engagement and remains in effect for the period specified in the applicable Master Service Agreement, or in the absence of a specified period, for three years following the end of the engagement. Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
Where AppVertices processes personal data on behalf of a Client in the course of delivering Services, such processing is governed by the Data Processing Agreement or equivalent terms included in the applicable Master Service Agreement. Our general data handling practices for website visitors, prospective clients, and job applicants are described in our Privacy Policy at /privacy-policy/.
AppVertices warrants that Services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. Any additional warranty periods for specific Deliverables, such as bug fix or defect correction periods, are defined in the applicable Statement of Work.
Except for the limited warranty stated above, Services and Deliverables are provided on an "as is" and "as available" basis. AppVertices disclaims all other warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law. AppVertices does not warrant that Deliverables will be completely free of errors or that they will meet every unstated requirement.
This website and its content are provided for general informational purposes only. AppVertices makes no warranty that the website will be uninterrupted, error free, or free of harmful components, and is not liable for any loss or damage arising from your use of the website.
To the maximum extent permitted by applicable law, AppVertices' total liability arising out of or related to any engagement, whether in contract, tort, or otherwise, will not exceed the total fees paid by the Client to AppVertices for the specific Services giving rise to the claim in the six months preceding the event giving rise to liability. In no event will AppVertices be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or lost data, even if advised of the possibility of such damages. These limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, or breach of confidentiality obligations, where applicable law prohibits such limitation.
The Client agrees to indemnify and hold AppVertices harmless from any claims, damages, liabilities, and expenses, including reasonable legal fees, arising from the Client's breach of these Terms, misuse of Deliverables, or violation of any third-party rights through content, data, or instructions provided by the Client. AppVertices agrees to indemnify the Client for claims directly arising from AppVertices' gross negligence or willful misconduct in delivering the Services, subject to the limitations of liability described in Section 10.
Either party may terminate an ongoing engagement as permitted under the terms of the applicable Master Service Agreement or Statement of Work, typically with written notice as specified in that agreement.
Either party may terminate an engagement immediately upon written notice if the other party materially breaches these Terms or the applicable agreement and fails to cure that breach within 15 days of receiving written notice of the breach.
Upon termination, the Client is responsible for payment of all fees for Services performed up to the date of termination. AppVertices will deliver any completed and paid for work product to the Client. Sections of these Terms that by their nature should survive termination, including Intellectual Property, Confidentiality, Limitation of Liability, and Indemnification, will survive.
Neither party will be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, internet or infrastructure outages, government action, or pandemic related restrictions, provided the affected party promptly notifies the other and makes reasonable efforts to resume performance.
These Terms and any engagement with AppVertices are governed by the laws of the State of Texas, without regard to its conflict of law principles, unless a specific signed Master Service Agreement states otherwise. Any dispute arising out of or relating to these Terms or an engagement with AppVertices will first be addressed through good faith negotiation between the parties. If a dispute cannot be resolved through negotiation within 30 days, the parties agree to submit the dispute to the exclusive jurisdiction of the state and federal courts located in Texas, unless the applicable signed agreement specifies binding arbitration or a different venue.
AppVertices may update these Terms and Conditions periodically to reflect changes in our business practices or legal requirements. Material changes will be reflected by updating the "Last updated" date at the top of this page. Continued use of the website or continued engagement of Services after changes are posted constitutes acceptance of the updated Terms. Terms governing an active, signed engagement will not be changed retroactively without mutual written agreement.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
These Terms and Conditions, together with any signed proposal, Statement of Work, or Master Service Agreement, constitute the entire agreement between AppVertices and the Client regarding the subject matter herein, and supersede any prior agreements or understandings, whether written or oral, relating to that subject matter.
